Terms of Service

1. Service Description

These Terms of Service govern your use of Minilab ("Minilab", "we", "our"), an AI-powered building management SaaS platform for Malaysian JMB/MC strata operations. Minilab is operated by BCS HARDWARE (GOMBAK) SDN. BHD. (Company No. 201201006471 (979996-V)), a company incorporated in Malaysia. The service includes WhatsApp AI integration, visitor management, contractor management, attendance tracking, and collection engine features.

2. User Obligations

Users must provide accurate building and resident information. Users must not misuse the AI system or attempt to bypass security controls. Building managers are responsible for ensuring resident data is collected with proper consent under PDPA 2010.

3. Payment Terms

Subscription fees are billed monthly in Malaysian Ringgit (RM). Payment is due within 14 days of invoice. Late payments may result in service suspension after 30 days. All prices are exclusive of SST where applicable.

4. Data Ownership

All building data belongs to the JMB/MC (Joint Management Body / Management Corporation) that generated it. Minilab acts as a data processor, not data owner. Upon termination, all building data will be exported and provided to the JMB/MC within 30 days.

5. Intellectual Property

The Minilab platform, including its AI models, algorithms, and software, is the intellectual property of BCS HARDWARE (GOMBAK) SDN. BHD. Users receive a non-exclusive license to use the platform during their subscription.

6. Termination

Either party may terminate with 30 days written notice. Minilab may suspend or terminate accounts for breach of these terms. Upon termination, access to the platform ceases but data export is available for 30 days.

7. Liability Limitation

Minilab's total liability is limited to fees paid in the 12 months preceding the claim. Minilab is not liable for indirect, consequential, or punitive damages. The AI system provides recommendations only and does not constitute legal advice.

8. Governing Law

These terms are governed by the laws of Malaysia. Any disputes will be resolved in the courts of Kuala Lumpur, Malaysia.

9. Dispute Resolution

Parties agree to attempt mediation before litigation. Mediation will be conducted in Kuala Lumpur under the Malaysian Mediation Centre rules.

10. Changes to Terms

Minilab may update these terms with 30 days notice via email. Continued use after the notice period constitutes acceptance.
